Terms of Service — iPerfeQT for Snowflake

These Terms cover iPerfeQT for Snowflake (the Snowflake Native App) and supplement the Techmansys General Terms. For the iPerfeQT platform delivered as a web application, Microsoft Teams app, or via AI assistant connectors, see its Terms of Use. All legal documents: techmansys.com/legal.

1. Agreement

These Terms of Service (“Terms”) are an agreement between Techmansys Inc. (“Techmansys”, “we”) and the entity installing or using the iPerfeQT for Snowflake application (the “App”, and such entity, “you”). By installing the App from the Snowflake Marketplace or using it, you accept these Terms on behalf of your organization and represent that you have authority to do so. If you do not agree, do not install or use the App.

These Terms supplement — and do not replace — your agreements with Snowflake Inc., including the Snowflake Marketplace consumer terms, which govern the Snowflake platform and Marketplace billing.

2. The App

iPerfeQT for Snowflake is a Snowflake Native App that audits data quality, security, and compliance posture, generates findings with a review workflow, and produces AI-assisted remediation guidance and report drafts. The App installs and runs entirely inside your Snowflake account, using your compute and the privileges you grant it. Techmansys is a publisher of application code; we have no runtime access to your account and receive no copy of your data.

3. License and restrictions

Subject to these Terms and your active Marketplace entitlement, Techmansys grants you a limited, non-exclusive, non-transferable license to install and use the App within your Snowflake account(s) covered by that entitlement, for your internal business purposes.

You will not (and will not permit anyone to): (a) reverse engineer, decompile, or attempt to extract the App’s non-public logic, including audit command implementations and AI prompt templates; (b) resell, sublicense, or provide the App to third parties except as Snowflake’s reshare and entitlement mechanisms expressly allow; (c) use the App to audit accounts or data you are not authorized to audit; or (d) use the App in violation of law.

4. Billing, trial, cancellation & refunds

Billing. Paid subscriptions are billed by Snowflake through the Snowflake Marketplace and appear on your Snowflake invoice. Techmansys does not collect payment details from you.
Free trial. Where offered, a free trial grants access for the stated trial period at no charge. Trials do not convert automatically: to continue using the App after the trial, you purchase a subscription through the Snowflake Marketplace. If you do not purchase, access ends when the trial expires and no charges are incurred.
Cancellation. You may cancel at any time by uninstalling the App before your next renewal date; Marketplace billing for subsequent periods stops per Snowflake’s Marketplace terms.
Refunds. Because billing is operated by Snowflake, refund requests for subscription charges are handled through Snowflake Marketplace support under Snowflake’s consumer terms. Techmansys may, at its discretion, offer goodwill credits or discounted terms via Marketplace private offers.
Your compute costs. Snowflake compute, storage, and Cortex AI usage consumed by running audits occur in your account and are your own Snowflake costs, separate from the subscription. The App displays per-run credit estimates to keep this transparent.

5. Your account, your data, your responsibilities

You control the privileges granted to the App, the data it can reach, and the warehouses it uses. You are responsible for granting only what you intend.
All App data — journeys, findings, reports, configuration — lives in tables in your Snowflake account, under your control, and remains yours.
Uninstalling the App permanently deletes the App’s data in your account and it cannot be recovered by Techmansys. Use the App’s backup/export features before uninstalling or before major changes.
You are responsible for the acts of users you provision and for using audit results responsibly within your organization.

6. AI-generated content

Audit-ready drafts, not legal advice. The App uses Snowflake Cortex AI to generate remediation guidance and compliance report drafts (e.g. SOC 2, GDPR, DPDP). AI output is a draft for review by qualified humans. It is not legal advice, not an audit opinion, and not a certified compliance attestation, and it may contain errors or omissions. Your auditor of record, compliance, and legal teams retain final authority over all compliance determinations. You are responsible for reviewing AI output before relying on it.

7. Intellectual property

The App — including its audit command logic, prompt templates, and user interface — is and remains the exclusive property of Techmansys and its licensors. No rights are granted except the license in Section 3. Your data, your custom audit commands, and your configurations remain yours. If you send us feedback or suggestions, we may use them without obligation.

8. Support and changes

Support is provided as described on the Marketplace listing (contact: support@techmansys.com). We may update the App to add, change, or fix functionality; updates are delivered through the Snowflake Marketplace upgrade mechanism. Where an update materially changes the meaning of an existing audit command’s results, we note it in the App’s release information. If we discontinue the App, we will provide at least six (6) months’ notice and an export path for your data.

9. Warranty disclaimer

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TECHMANSYS DOES NOT WARRANT THAT THE APP WILL BE ERROR-FREE OR UNINTERRUPTED, THAT IT WILL DETECT EVERY ISSUE IN YOUR ACCOUNT, OR THAT AI OUTPUT WILL BE ACCURATE OR COMPLETE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA; AND (B) TECHMANSYS’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE APP OR THESE TERMS WILL NOT EXCEED THE SUBSCRIPTION FEES YOU PAID FOR THE APP IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY (OR US $100 IF YOU PAID NO FEES). THESE LIMITS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

11. Indemnification

You will defend and indemnify Techmansys against third-party claims arising from your unauthorized or unlawful use of the App, including auditing data or accounts you lacked authority to audit. Techmansys will defend and indemnify you against third-party claims that the App, as provided by us and used per these Terms, directly infringes their U.S. intellectual-property rights; our sole obligations for such claims are to procure rights, modify the App, or terminate and refund prepaid unused fees.

12. Term and termination

These Terms apply while you have the App installed or an active entitlement. Either party may terminate for the other’s material breach not cured within thirty (30) days of notice. Techmansys may suspend or terminate the license for violation of Section 3. On termination, uninstall the App; Sections 4–13 survive. Remember: uninstalling permanently deletes the App’s data in your account (Section 5).

13. General

These Terms are governed by the laws of the State of Delaware, USA, excluding its conflict-of-laws rules; exclusive venue is the state and federal courts located in Delaware, and each party consents to their jurisdiction. Snowflake is not a party to these Terms. Snowflake® is a trademark of Snowflake Inc.; iPerfeQT is a trademark of Techmansys Inc. These Terms are the entire agreement regarding the App and supersede prior discussions. If a provision is unenforceable, the remainder stands. We may update these Terms; material changes take effect on your next renewal or thirty (30) days after posting, whichever is later, and the current version is always at this page. Continued use after that constitutes acceptance.
